Allgemeine Geschäftsbedingungen der DGOF gegenüber Teilnehmern der GOR

1. Zustandekommen
In der Registrierung liegt ein bindendes Vertragsangebot des Teilnehmers (m/w/d) zur Teilnahme an der General Online Research Konferenz (GOR), welches durch die Deutsche Gesellschaft für Online-Forschung – DGOF e.V., Huhnsgasse 34b, 50676 Köln (nachfolgend: DGOF) nach Eingang der Teilnahmegebühr (siehe 2.1.) angenommen wird.

2. Gebühren und Zahlung
2.1. Die Teilnahmegebühr wird mit Registrierung fällig. Sie ist innerhalb von 7 Tagen nach Absenden der Registrierung an das in der Registrierungsbestätigung angegebene Konto per Überweisung bzw. per PayPal zu zahlen. Eine Teilnahme wird erst nach Eingang der Teilnahmegebühr garantiert.
2.2. Bei Anmeldung kurz vor der Konferenz hat der Teilnehmende die DGOF über den Zahlungsfortschritt unter office@dgof.de zu informieren.
2.3. Bei vorzeitigem Ausschluss des Teilnehmenden von der Konferenz wegen Verstoßes gegen den Code of Conduct (siehe 4.) erhält der Teilnehmer keine Rückerstattung des Tagungsbeitrags, wenn ihn hieran ein Verschulden trifft.
2.4. Kann der Teilnehmende aus in seiner Person liegenden Gründen nicht an der Konferenz teilnehmen, erfolgt nur eine Rückerstattung des Tagungsbeitrags entsprechend der Klausel 3 (Stornierung), wenn der Grund der Nichtteilnahme im Verantwortungsbereich des Teilnehmenden (z.B. Krankheit) liegt und die DGOF kein Verschulden trifft.

3. Stornierung durch den Teilnehmer (m/w/d)
3.1. Storniert der Teilnehmende seine Registrierung bis 3 Monate vor der Veranstaltung, so erhält er eine vollständige Rückerstattung der Teilnahmegebühr.
3.2. Storniert der Teilnehmende seine Registrierung erst nach diesem Zeitpunkt, erhält er 80 % seiner Teilnahmegebühr zurückerstattet. Der Teilnehmende hat die Möglichkeit nachzuweisen, dass der im Einzelfall für die DGOF entstandene Schaden geringer als die verbleibenden 20 % der Teilnahmegebühr oder gar nicht entstanden ist.
3.3. Sollten durch die Stornierung des Teilnehmenden tatsächlich bereits höhere Kosten entstanden sein, so behält sich die DGOF vor, unter Vorlage eines entsprechenden Nachweises, diese Kosten statt des prozentual geregelten Wertes einzubehalten.

4. Pflichten des Teilnehmers – Code of Conduct
Der Teilnehmende hat sich an den Code of Conduct zu halten. Bei verschuldeten Verstößen werden nach Abwägung der beiderseitigen Interessen die darin enthaltenen Maßnahmen ergriffen, bis hin zum Ausschluss von der Konferenz ohne Rückerstattung des Tagungsbeitrages (siehe 2.3.). Dies gilt nicht, wenn der Teilnehmende nachweisen kann, dass ihn tatsächlich kein Verschulden trifft.

5. Austausch der Referenten; Änderung des Konferenzprogramms
Der Austausch von vorangemeldeten Referenten durch Andere, sowie notwendige Änderungen des Konferenzprogramms unter Wahrung des Gesamtcharakters der Veranstaltung, behält sich die DGOF ausdrücklich vor, soweit dies dem Teilnehmenden zumutbar ist.

6. Absage bzw. Verschiebung oder Änderung des Formats der GOR
6.1. Die DGOF behält sich vor, die GOR abzusagen, zu verschieben oder falls nicht anders möglich, diese in digitaler Form abzuhalten, wenn ein prägender oder mehrere Referenten unvorhergesehen absagen, unvorhergesehene Störungen am Veranstaltungsort (Bsp. Umbau, entgegenstehende Gesetze und Regelungen oder ähnliches) eintreten, von der DGOF nicht zu vertretende Gesundheits- oder Sicherheitsrisiken für Teilnehmer und Referenten drohen oder bestehen oder wegen zu geringer Teilnehmerzahl eine Durchführung nicht möglich ist. In diesem Fall wird der Teilnehmer (m/w/d) unverzüglich informiert.
6.2. Das Teilnahmeentgelt wird erstattet, wenn die Absage aufgrund von einer zu geringen Teilnahmezahl erfolgt. Bezüglich weiterer Kosten wird auf 9. Verwiesen.
6.3. Bei Verschiebung kommt die unter 8. genannte Gutscheinlösung zur Anwendung.
6.4. Bei einer Änderung des Formats (z.B. Präsenzveranstaltung wird zur Digitalveranstaltung) wird das Teilnahmeentgelt angepasst und es erfolgt eine Teilrückerstattung.

7. Höhere Gewalt
7.1. Ist wegen höherer Gewalt eine Durchführung der GOR nicht möglich, so werden die Teilnehmer (m/w/d) unverzüglich informiert und die geschlossenen Vereinbarungen bleiben wirksam. Es wird ein Ausweichtermin gesucht, an dem der Teilnehmer (m/w/d) im Wege der Gutscheinlösung (siehe 8) teilnehmen kann. Die darin geregelten Härtefälle finden Anwendung.
7.2. Höhere Gewalt liegt vor, wenn ein außergewöhnliches, betriebsfremdes, von außen durch elementare Naturkräfte, Pandemien oder durch Handlungen Dritter (betriebsfremder) Personen herbeigeführtes und nach menschlicher Einsicht und Erfahrung unvorhersehbares Ereignis eintritt. Dabei kann es nicht mit wirtschaftlich erträglichen Mitteln verhütet und auch nicht nach den Umständen äußerster, vernünftigerweise zu erwartender Sorgfalt unschädlich gemacht werden. Es muss auch nicht im Hinblick auf seine Häufigkeit in Kauf genommen zu werden.

8. Gutscheinlösung und Härtefallregelung
8.1. Die DGOF behält sich vor, bei Notwendigkeit der Absage aus anderen Gründen als einer zu geringen Teilnehmerzahl und bei Verschiebung der GOR, unter Wahrung der Interessen der Teilnehmer (m/w/d), statt der Rückzahlung der Teilnahmegebühr einen Gutschein in Form einer Gutschrift der Teilnahmegebühren für die verschobene bzw. nächst stattfindende GOR auszustellen.
8.2. Die Auszahlung der Teilnahmegebühr kann durch den Teilnehmer (m/w/d) verlangt werden, wenn dieser nachweist, dass ihm die Teilnahme am Ersatztermin durch eine kollidierende Veranstaltung, eine fehlende Freistellung durch den Arbeitgeber oder aufgrund persönlicher Lebensumstände unzumutbar ist.
8.3. Die Auszahlung der Teilnahmegebühr kann durch den Teilnehmer (m/w/d) auch verlangt werden, wenn die nächste GOR nicht bis Ende des auf die ursprünglich geplanten GOR folgenden Kalenderjahres stattfindet.
8.4. Im Fall der beiden Härtefallregelungen (8.2 und 8.3) kann bei Bedarf auch eine im Einzelfall, den Interessen des Teilnehmers (m/w/d) besser entsprechende Lösung gefunden werden. Dies ist vor allem anzunehmen, wenn der Teilnehmer (m/w/d) nachweist, zum verschobenen Zeitpunkt kein berufliches Interesse mehr an der Konferenz (z.B. wegen Stellenwechsel, Renteneintritt oder ähnlichem) zu haben. Hierbei ist nach Zustimmung der DGOF ggf. auch eine Umschreibung oder Übertragung auf Dritte möglich.
8.5. Die Gutscheinlösung gilt nicht, sofern die DGOF die Verschiebung der GOR grob fahrlässig oder vorsätzlich zu verantworten hat.
8.6. Zum Ersatz weiterer Kosten wird auf 9. verwiesen.

9. Haftung der DGOF
Die DGOF haftet nicht für den Ersatz von Reise- und Übernachtungskosten sowie den Arbeitsausfall der Teilnehmer (m/w/d), es sei denn, diese Kosten entstehen aufgrund grob fahrlässigen oder vorsätzlichen Verhaltens der DGOF.

10. Schlussbestimmungen
10.1. Anwendbares Recht
Es findet deutsches Recht Anwendung. Das Gesetz zu dem Übereinkommen der Vereinten Nationen über den internationalen Warenverkauf (CISG) und internationales Privatrecht (IPR) gelten nicht.
10.2. Gerichtsstand
Bei allen sich aus dem Vertragsverhältnis ergebenden Streitigkeiten ist, wenn der Vertragspartner Kaufmann, eine juristische Person des öffentlichen Rechts oder ein öffentlich-rechtliches Sondervermögen ist, der Gerichtsstand Köln.
10.3. Salvatorische Klausel
Sollten einzelne Bestimmungen dieses Vertrages unwirksam sein oder werden, so wird die Rechtswirksamkeit der übrigen Bestimmungen dadurch nicht berührt. Entsprechendes gilt beim Vorhandensein einer Vertragslücke.


General Terms and Conditions of DGOF vis-a-vis Participants of the GOR

1. Conclusion of Contract
Registration constitutes a binding contractual offer by the participant (m/f/d) to participate in the General Online Research Conference (GOR), which is accepted by the Deutsche Gesellschaft für Online-Forschung – DGOF e.V., Huhnsgasse 34b, 50676 Köln (hereinafter referred to as “DGOF”) after receipt of the participation fee (see clause 2.1.).

2. Fees and Payment
2.1. The participation fee is due upon registration. It is payable by bank transfer or by PayPal to the account indicated in the registration confirmation within 7 days after sending the registration form. Participation is only guaranteed after receipt of the participation fee.
2.2. If registering shortly before the conference, the participant (m/f/d) shall inform DGOF about the status of the payment via office@dgof.de.
2.3. In the event that a participant is dropped from the conference due to a violation of the Code of Conduct (see clause 4.), the participant will not be reimbursed the conference fee if he/she is at fault.
2.4 If the participant (m/f/d) is unable to attend the conference for personal reasons, the conference fee will only be refunded in accordance with Clause 3 (Cancellation) if the reason for non-attendance is within the participant’s area of responsibility (e.g. illness) and DGOF is not at fault.

3. Cancellation by the Participant (m/f/d)
3.1. If the participant (m/f/d) cancels his/her registration up to 3 months before the event, he/she will receive a full refund of the participation fee.
3.2. If the participant (m/f/d) cancels his/her registration after this date, only 80% of the participation fee will be refunded. The participant (m/f/d) has the opportunity to prove that the damages incurred by DGOF in this case are less than the remaining 20% of the participation fee or that no damages were incurred at all.
3.3. If the cancellation of the participant has caused higher costs, DGOF reserves the right to withhold these costs instead of the percentage value.

4. Obligations of the Participant – Code of Conduct
The participant (m/f/d) shall comply with the Code of Conduct. In the event of culpable violations and after considering the mutual interests of both parties, measures will be taken up to and including exclusion from the conference without a refund of the conference fee (see clause 2.3.). This does not apply, if the participant (m/f/d) can prove that he/she is actually not at fault.

5. Change of Speakers; Change of Conference Programme
DGOF expressly reserves the right to replace pre-registered speakers with others, as well as to make necessary changes to the conference programme while maintaining the overall character of the event, as far as this is reasonable for the participant (m/f/d).

6. Right to Cancel or Postponement of the GOR or Change the Format of GOR
6.1. DGOF reserves the right to cancel, postpone or, if not otherwise possible, to hold the GOR in digital form, if one or more speakers cancel unexpectedly, if unforeseen disturbances occur at the venue (e.g. alterations, renovations, conflicting laws and regulations or the like), if there are health or safety risks for participants and speakers that are not the responsibility of DGOF, or if the event cannot be held due to a low number of participants. In this case the participant (m/f/d) will be immediately informed thereof.
6.2. The participation fee will be refunded if the cancellation is due to a too low number of participants. With regard to further costs, reference is made to clause 9.
6.3. In case of postponement the voucher redemption mentioned under clause 8 will be applied.
6.4. In the event of a change in format (e.g. face-to-face event becomes a digital event) the attendance fee will be adjusted and a partial refund will be made.

7. Force Majeure
7.1. If it is not possible to carry out the GOR due to force majeure, the participants (m/f/d) will be informed immediately and the concluded agreements remain effective. An alternative date is to be sought on which the participant (m/f/d) can take part by redeeming the voucher (see clause 8.). Any cases of hardship regulated therein shall apply.
7.2. Force majeure exists if an extraordinary event occurs that is external to the company, brought about externally by elementary natural forces, pandemics or by the actions of third parties (external to the company) and that is unforeseeable according to human insight and experience. Furthermore, in this regard, it cannot be prevented by economically bearable means, nor can it be rendered harmless according to the circumstances and under the utmost, reasonably expected care. Nor does it have to be accepted/tolerated in terms of its frequency.

8. Voucher Redemption and Hardship Provision
8.1. DGOF reserves the right to issue a voucher in the form of a credit note for the participation fees for the postponed or next GOR instead of a refund of the participation fee, if cancellation is necessary for reasons other than a too small number of participants and if GOR is postponed, while safeguarding the interests of the participants (m/f/d).
8.2. The reimbursement of the participation fee can be demanded by the participant (m/f/d), if he/she can prove that participation on the alternative date is unreasonable for him/her due to a conflicting event, a lack of release from work by the participant’s employer or due to personal circumstances.
8.3. The participant (m/f/d) can also demand reimbursement of the participation fee if the next GOR does not take place by the end of the calendar year following the originally planned GOR.
8.4. In the case of the two hardship provisions (clauses 8.2 and 8.3), a solution that is more in line with the interests of the participant (m/f/d) can be found in individual cases, if necessary. This is to be assumed above all if the participant (m/f/d) proves that he/she has no professional interest in the conference at the postponed date (e.g. because of a change of job, retirement or the like). After approval by DGOF, a transfer or transfer to third parties is also possible.
8.5. The redemption of the voucher is not valid, if DGOF is responsible for the postponement of GOR due to gross negligence or intent.
8.6. Please refer to clause 9 for the reimbursement of further costs.

9. Liability of DGOF
DGOF is not liable for the reimbursement of travel and accommodation costs as well as the loss of work hours of the participants (m/f/d), unless these costs are incurred due to grossly negligent or intentional behaviour on the part of DGOF.

10. Final Provisions
10.1. Applicable law
The law of the Federal Republic of Germany shall apply. The United Nations Convention on the International Sale of Goods (CISG) and private international law (IPR) do not apply.
10.2. Place of jurisdiction
For all disputes arising out of or in connection with the contractual relationship, the place of jurisdiction shall be Cologne, Germany, if the contractual partner is a merchant, a legal entity under public law or a special fund under public law.
10.3. Severability
Should individual provisions of this contract be or become invalid, the legal validity of the remaining provisions shall not be affected thereby. The same shall apply in the event of a gap in the contract.
